These Terms of Service ("Terms") govern your access to and use of the services, platform, and website (collectively, the "Service") provided by Valgo Protocol Inc., a corporation incorporated under the laws of Canada, with its registered office in Calgary, Alberta ("Company", "we", "us", or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Acceptance of Terms
By creating an account or using any part of the Service, you confirm that you are at least 18 years old (or the age of majority in your province or territory of residence) and that you have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Valgo Protocol provides an AI infrastructure layer that enables users to interact with multiple machine learning model providers through a unified API. The Service includes intelligent routing, cost optimization, caching, and observability tools designed to improve the performance and cost-efficiency of AI integrations.
3. Account Registration
You may be required to create an account to access certain features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service to transmit harmful, illegal, or objectionable content
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use automated means to access the Service outside of the provided API
- Sublicense, resell, or redistribute the Service without prior written consent
5. Intellectual Property
All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and trademarks — are the exclusive property of Valgo Protocol Inc. and are protected by Canadian and international copyright, trademark, and other intellectual property laws.
You retain ownership of any data you submit through the Service. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service.
6. Fees and Payment
Certain features of the Service may require payment. All fees are quoted in Canadian Dollars (CAD) or United States Dollars (USD) unless otherwise specified. Fees are non-refundable except as required by applicable law or as stated in our refund policy. We reserve the right to change our pricing with reasonable advance notice.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice of planned downtime where practicable.
8. Limitation of Liability
To the maximum extent permitted under Canadian law, Valgo Protocol Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Valgo Protocol Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service or your breach of these Terms.
10. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, and we may delete your account data in accordance with our Privacy Policy.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the courts of competent jurisdiction located in Calgary, Alberta, Canada.
12. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date above and notify you through the Service or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
